General Sale Terms

1. Definitions

In these General Terms and Conditions of Sale (the “Terms”), the following definitions apply:

  • Seller: MGF d.o.o., Letališka 16, SI-1000 Ljubljana, Slovenia, VAT SI27553418, registered in the Republic of Slovenia, acting as Worldwide Distributor and Official Partner of MGF Srl, Via Mendes 8, 43058 Sorbolo Mezzani (PR), Italy, and authorised to sell MGF products through the Site.

  • SiteThe website is available at www.mgftools.eu, and the seller controls all pages (excluding external links).

  • Products or Product: all goods offered for sale on the Site, including products manufactured by MGF Srl (Italy) and placed on the market by the Seller.

  • Product Sheet: any web page or downloadable document on the Site describing a Product (characteristics, intended use, maintenance, disposal, technical data).

  • Documentation: any electronic or paper document issued by the Seller concerning an order (invoice, delivery note, packing list, shipment notice).

  • Consumer: a natural person who acts for purposes outside their trade, business or profession, per the Slovenian Consumer Protection Act (ZVPot-1).

  • Professional: any natural or legal person acting for purposes relating to their business or profession.

  • Customer: the subject (Consumer or Professional) who purchases Products on the Site.

  • Purchase Order: the electronic order sent by the Customer through the Site after accepting these Terms.

  • Sales Contract: the distance contract concluded online between the Customer and the Seller when the Seller confirms the Purchase Order under these Terms.

  • Store Outlets: any sales point of MGF d.o.o., Ljubljana, listed on the Site.

2. Scope and Acceptance

2.1 These Terms regulate the offer, transmission, acceptance and performance of Purchase Orders made via the Site between the Customer and the Seller, per EU rules on distance contracts and Slovenian consumer law (ZVPot-1 and ZEPT).

2.2 Before submitting a Purchase Order, the Customer must read and expressly accept:

  • these Terms,

  • the Privacy Policy (GDPR and ZVOP-2 compliant),

  • the information on the right of withdrawal,

  • and any information shown during checkout.

2.3 No order can be placed if the Customer does not accept these Terms.

3. Conclusion of the Sales Contract

3.1 The Products that can be purchased are those displayed on the Site and described in the respective Product Sheet. Images are indicative; in case of discrepancy, the written description prevails.

3.2 To place an order, the Customer must provide accurate, complete, and true data (identity, billing, delivery, contact) and update such data.

3.3 Before confirming the order, the Customer is shown:

  • the selected Products,

  • the total price including VAT and other applicable charges,

  • delivery costs and any optional services,

  • delivery address,

  • expected delivery time (if available).
    The Customer must verify that this information is correct.

3.4 The Sales Contract is concluded when the Customer receives an order confirmation email from the seller to the address provided. This email contains at least the order number, a summary of the Products, the price, the delivery data, and a reference to these Terms.

3.5 The Seller may decline an order and no contract will be formed, for example, in case of: (i) untrue or unverifiable Customer data, (ii) previous unpaid orders, (iii) Product no longer available, (iv) clearly abnormal or fraudulent orders. Any amounts already paid will, in that case, be refunded.

3.6 In case of partial unavailability of the ordered Products, the Seller will contact the Customer to propose: (a) partial fulfilment, (b) replacement with other Products, or (c) cancellation and refund.

3.7 By sending the order electronically, the Customer unconditionally accepts these Terms.

4. Prices, Payment and Invoicing

4.1 Unless otherwise stated, all prices on the Site are in euros (EUR) and include Slovenian VAT and other applicable taxes. Delivery, optional services, or customisation costs are shown separately before order confirmation.

4.2 The Customer undertakes to pay the total amount shown at checkout, using one of the payment methods available on the Site at that time.

4.3 Bank transfer. Payment must be made to the bank account indicated in the order confirmation, with the reason: “Order no. [●] – [Customer name]”. The Seller must receive the transfer within the term indicated in the confirmation (usually two business days). Shipment is made only after the full amount is credited. The Seller may cancel the order if payment is not received within 5 days.

4.4 Card or online payments. Where available, payments are processed on secure servers of the payment provider/bank. The Seller does not store card data. If the provider reports irregularities, the Seller may cancel the order and inform the Customer.

4.5 PayPal (if enabled). Payment is made according to PayPal’s terms; the charge usually occurs on shipment.

4.6 If payment is missing, refused or revoked, the Sales Contract is ineffective and the Seller has no delivery obligation.

4.7 Invoices are issued by the Slovenian Seller (MGF d.o.o., Ljubljana).

5. Delivery

5.1 The Seller delivers the Products confirmed in the Purchase Order via courier. The Seller is not liable for delays or inefficiencies attributable to the carrier, without prejudice to the Consumer’s mandatory rights.

5.2 Optional services (express delivery, delivery on appointment, insurance, etc.) can be selected if available and are shown with their cost before order confirmation.

5.3 Unless otherwise agreed, delivery is kerbside at the address indicated. For pedestrian zones, delivery is to the closest point accessible by the courier.

5.4 If delivery cannot be completed under the agreed conditions because the Customer provided incomplete or incorrect information, the Seller may charge the Customer the costs of failed delivery and storage.

5.5 If the selected transport solution cannot be applied, the Seller will contact the Customer to agree on an alternative or, if not acceptable, to cancel the order and refund.

5.6 Delivery is subject to prior payment.

5.7 On receipt, the Customer must check the quantity and external condition of the packages. If there is visible damage or doubt, the Customer must accept with reservation (“received subject to inspection - damaged packaging”) or refuse delivery and immediately inform the Seller. Otherwise, later claims about visible transport damage may be rejected.

5.8 In case of non-conformity or transport damage, the Customer must notify the Seller at info@mgftools.eu within 24 hours of delivery, indicating the order number and description.

6. Conformity and Warranty

6.1 The statutory conformity rules of the Slovenian Consumer Protection Act (ZVPot-1) apply to consumers. This act implements EU Directives 2019/771 and 2019/770 on selling goods and digital content.

6.2 The Seller is liable for any lack of conformity at the delivery time and appears within 2 years from delivery (unless a more extended period is mandatory for a specific product).

6.3 Under ZVPot-1, there is a hierarchy of remedies: first, repair or replacement within a reasonable time (usually 30 days), and only if that is impossible, disproportionate or not carried out properly may the Consumer request a price reduction or termination of the contract.

6.4 The Consumer must notify the lack of conformity to the Seller within a reasonable time after noticing it (ZVPot-1 generally speaks of 2 months for notification, which is standard in Slovenian practice). The notice must be sent to info@mgftools.eu with order number, description and, where possible, photos/videos.

6.5 For Professional Customers, the Obligations Code (OZ) rules on material defects and commercial guarantees apply, and the warranty period may be shorter.

6.6 If the Product is manufactured by MGF Srl (Italy), the Seller may, for efficiency, send the Product to the authorised service centre or act in coordination with MGF Srl. This does not affect the Consumer’s rights against the Slovenian Seller.

7. Right of Withdrawal (Consumers – distance contracts)

7.1 A Consumer who buys via the Site has the right to withdraw from the Sales Contract, without giving any reason, within 14 days from the day of delivery, per ZVPot-1 and Directive 2011/83/EU.

7.2 To exercise the right, the Consumer must send an unambiguous statement (for example, “I hereby withdraw from order no. …”) to info@mgftools.eu within 14 days or use the online return function.

7.3 The Seller will send a Return Material Authorisation (RMA) with instructions. Returns without RMA may be refused.

7.4 The Product must be returned intact, in its original packaging, complete with accessories and documentation, within 14 days from the withdrawal notice. The Consumer is responsible for any diminished value resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

7.5 The Consumer bears return costs, unless the Seller has expressly offered free return.

7.6 The Seller will refund the payments received for the goods within 14 days of receiving the returned goods or proof of return. The Seller is not obliged to refund additional services (express delivery, customisation) if these were actually provided.

8. Liability

8.1 The Seller is not liable for non-performance due to force majeure, extraordinary events or interruptions of electronic communications that prevent the execution of the order.

8.2 The information on the Site is intended to describe the Products; the Customer remains responsible for choosing the Product suitable for their purposes.

8.3 Except for mandatory Consumer rights, the Seller’s liability for damages is limited to the total amount paid for the order from which the claim arises.

9. Storage of the Contract

Per Slovenian e-commerce rules (ZEPT), the Seller stores orders electronically on secure servers and makes them available to the Customer upon request.

10. Communications and Complaints

All communications and complaints must be sent to: info@mgftools.eu.
The Seller will reply using the contact details provided by the Customer.

11. Applicable Law and Jurisdiction

11.1 The law of the Republic of Slovenia governs these Terms and the sales contracts concluded through the Site.

11.2 If the Customer is a Consumer resident in the EU, the mandatory consumer protection rules of the Consumer’s country of residence also apply, as provided by EU private international law.

11.3 Any dispute between the Seller and a Professional Customer shall be submitted to the competent court in Ljubljana, Slovenia.
